By accessing or using GetHighLytics (the "Service"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Mixed Media Ventures, LLC ("Company," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use the Service.

GetHighLytics is an AI-powered competitive intelligence platform designed exclusively for GoHighLevel agencies. The Service provides automated competitor analysis reports, integrates with GoHighLevel via API, and delivers data-driven insights to help agencies serve their clients more effectively.

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access the Service, you must create an account by providing accurate, complete, and current information including your name, email address, payment information, and website URL. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Security

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.1 Permitted Uses

You may use the Service solely for legitimate business purposes related to competitive intelligence and analysis for your agency and clients.

4.2 Prohibited Uses

You agree not to:

Use the Service for any illegal, harmful, or unauthorized purposes

Attempt to gain unauthorized access to any part of the Service or other systems

Interfere with or disrupt the Service or servers connected to the Service

Upload, transmit, or distribute any malicious code, viruses, or harmful content

Violate any applicable laws, regulations, or third-party rights

Use the Service to harass, abuse, or harm others

Attempt to reverse engineer, decompile, or disassemble any part of the Service

Share account credentials with unauthorized parties

5.1 API Integration

The Service integrates with GoHighLevel via API to access content data necessary for competitive analysis. By using the Service, you authorize this integration and data access.

5.2 Data Usage

We access only the content data necessary to perform competitive analysis and push results to contact records in your GoHighLevel subaccount. We do not access or collect personal information of your clients' customers beyond what is necessary for the Service.

6.1 Service Ownership

The Service, including all software, technology, content, and materials, is owned by Mixed Media Ventures, LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

6.2 Generated Reports

All competitive analysis reports generated through the Service belong to you upon creation. You retain full ownership rights and may use, modify, distribute, or resell these reports without restriction.

6.3 User Content

You retain ownership of any content you upload to the Service. By uploading content, you grant us a limited license to process, analyze, and use such content solely to provide the Service.

7.1 Subscription Fees

The Service is provided on a subscription basis with fees processed through Stripe. All fees are charged in advance and are non-refundable except as specifically provided in these Terms.

7.2 Billing

All subscription plans, including Enterprise, are billed on a 28-day recurring cycle. Billing recurs every 28 days until canceled. You authorize us to charge your designated payment method for all applicable fees. For Enterprise plans, Net 30 payment terms may be offered only if mutually agreed in a custom contract and/or when invoiced quarterly or annually. Upgrades or downgrades between tiers are prorated within the current 28-day billing cycle. Monthly receipts may be provided via SalesPilot CRM or Stripe. Failed payments are subject to grace periods and automatic retry schedules in accordance with Stripe’s standard policies.

7.3 No Refunds

All subscription fees are final and non-refundable. Any credits issued (including those arising from plan upgrades, downgrades, or cancellation) are applied within the current 28-day billing cycle only; any unused credits are lost at the next billing cycle and are not redeemable for cash.

7.4 Payment Disputes

Any billing disputes must be reported within 30 days of the charge date. Failure to report disputes within this timeframe waives your right to contest the charge.

8.1 Data Security

We implement industry-standard security measures including TLS 1.2+ encryption for data in transit, AES-256 encryption for data at rest, and SOC 2 compliance standards.

8.2 Data Retention

Report data is stored until you delete it from your account. You may request deletion of your data at any time by contacting our support team.

8.3 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI-Generated Content

The Service uses artificial intelligence to generate competitive analysis reports. While we strive for accuracy, we make no guarantees regarding the completeness, accuracy, or reliability of AI-generated content. You should verify all information before relying on it for business decisions.

9.3 Limitation of Liability

IN NO EVENT SHALL MIXED MEDIA VENTURES, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

9.4 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting our support team.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, for any of the following reasons:

Breach of these Terms

Fraudulent or illegal activity

Overdue payment

Abuse of the Service or other users

Violation of applicable laws or regulations

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our data retention policies. Termination does not relieve you of any payment obligations incurred prior to termination.

The Service is available to users internationally. By accessing the Service from outside the United States, you acknowledge that you are responsible for compliance with applicable local laws and regulations.

We reserve the right to modify these Terms at any time. Material changes will be notified through the Service or via email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Jersey.

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mixed Media Ventures, LLC regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of such provision or any other provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
